Abstract
► We study firms that convert from a single to dual class share structure. ► This allows dominant shareholders to reduce their ownership without losing control. ► Personal wealth is diversified, improving alignment with dispersed shareholders. ► Differential voting rights also fosters corporate control activity. ► Resulting takeovers generate larger premiums that are paid equally to all shareholders.
