Abstract
⺠We study firms that convert from a single to dual class share structure. ⺠This allows dominant shareholders to reduce their ownership without losing control. ⺠Personal wealth is diversified, improving alignment with dispersed shareholders. ⺠Differential voting rights also fosters corporate control activity. ⺠Resulting takeovers generate larger premiums that are paid equally to all shareholders.
